Runtime Terms of Service
Effective Date: December 8, 2025
These Terms of Service ("Terms") govern your access to and use of Runtime, a software platform provided by Runtime Labs, Inc. ("Runtime Labs," "we," "our," or "us"). By creating an account, accessing Runtime, or otherwise using the Service, you ("you" or "User") agree to be bound by these Terms.
If you are using Runtime on behalf of an organization, you represent and warrant that you have the authority to bind that organization, and "User" will refer to both you and that organization. If you do not have such authority, or do not agree to these Terms, you may not use the Service.
For purposes of these Terms, the "Service" refers to the Runtime web application, the Runtime Labs infrastructure that supports it, associated tools and features, and any updates or enhancements we provide.
Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and protect your information.

1. The Service
1.1 Platform Description
Runtime is a software platform that enables Users to create, manage, schedule, and organize events, tasks, notes, and related information. The Service includes natural-language interfaces, calendar tools, event editors, image and media upload capabilities, and related functionality made available through web-based interfaces, APIs, and supporting infrastructure operated by Runtime Labs.
Runtime may incorporate additional features over time, including integrations with external services, contextual assistants, and advanced scheduling tools.
1.2 Language Model Interactions
The Service includes optional language-model-powered features and tools ("AI-Assisted Features") that may, for example:
- interpret natural-language input;
- suggest dates, times, locations, or other event attributes;
- generate, summarize, or update event details, notes, and other content;
- propose actions or follow-ups; and
- provide contextual insights based on your inputs, settings, and any connected services you choose to enable.
AI-Assisted Features rely on probabilistic models and may generate Output (as defined in these Terms) that is incorrect, incomplete, ambiguous, inconsistent, or otherwise unreliable. Output is not a source of truth, and you must independently review and verify any Output before relying on it.
AI-Assisted Features may be provided or powered in whole or in part by third-party model providers. Your use of AI-Assisted Features is subject to these Terms and, where applicable, to any additional terms, use restrictions, or disclosures we provide for specific integrations.
Additional important disclaimers regarding AI-Assisted Features, including scheduling risks and limitations of model behavior, are set out in Section 5 (AI and Scheduling Disclaimers).
1.3 Eligibility Requirements
To use the Service, you must:
- Be at least 13 years old; and
- Have the legal capacity to enter into a binding contract; and
- If using the Service on behalf of an organization, have full authority to bind that organization.
If you do not meet these eligibility requirements, you may not use the Service.
1.4 Account Registration and Security
To access certain features of the Service, you must create an account or authenticate through a third-party identity provider (such as Google). You agree to:
- Provide accurate and complete account information,
- Keep your login credentials secure, and
- Promptly notify Runtime Labs of any unauthorized access or suspected security breach.
You are responsible for all activity occurring under your account, whether or not authorized by you.
Runtime Labs is not liable for loss or damage resulting from unauthorized account access caused by your failure to maintain proper security.
1.5 Modifications to the Service
We may modify, update, limit, suspend, or discontinue any part of the Service at any time. When required by law, we will provide reasonable advance notice of material changes.
We are not liable for any modification or discontinuation of the Service, including associated features, integrations, or functionality.
1.6 Beta Features and Experimental Tools
We may offer early-access, experimental, or beta features ("Beta Features"). Beta Features:
- May be incomplete, unstable, or change without notice,
- May affect existing functionality or data,
- Are provided "as is" without warranties of any kind, and
- May be discontinued at any time.
Runtime Labs disclaims all liability arising from the use of any Beta Feature.
1.7 Third-Party Integrations
The Service may integrate with or rely on third-party services, including:
- Identity providers (e.g., Google Sign-In)
- Calendar syncing services
- Cloud storage providers
- Geolocation and mapping services
- AI model providers
- Content hosting providers (e.g., CDN or image storage)
Your use of such third-party services is subject to their respective terms and privacy policies. Runtime Labs does not control and is not responsible for the availability, security, or performance of any third-party service.
1.8 API Access and Credentials
If we provide you with access to any application programming interfaces ("APIs") or developer tools as part of the Service:
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the APIs solely to access the Service in accordance with these Terms and any additional documentation we provide.
- You must keep all API keys, tokens, and credentials confidential and must not share, sell, or sublicense them to any third party. You are responsible for all activity occurring under your API credentials.
- You may not use the APIs to:
- create a service that competes with or replicates core functionality of Runtime;
- circumvent rate limits, quotas, or usage restrictions;
- perform scraping, bulk export, or data harvesting beyond the functionality we intentionally expose;
- generate or label data for the purpose of training or improving models that compete with the Service or, where applicable, with the underlying third-party model providers we use, except to the extent such restrictions are prohibited by applicable law or expressly permitted by us in writing.
- We may monitor API usage for security, abuse detection, and Service improvement, and may suspend or revoke API access at any time for suspected misuse, security concerns, or violation of these Terms.
2. User Content and Data Rights
To deliver the Service, Runtime Labs processes several categories of data. The definitions below clarify ownership, rights, and responsibilities.
2.0 Definitions
"User Content"
User Content means any data, text, images, media, notes, event details, prompts, inputs, or other materials that you upload, submit, generate, or store through the Service.
User Content does not include Output, Service Data, or De-identified Data.
You retain all ownership rights to your User Content.
"Output"
Output means the AI-generated text, suggestions, summaries, time interpretations, or other results produced by AI-Assisted Features based on your User Content or prompts.
To the extent permitted by law, you own your Output.
Output may not be unique and may be similar or identical to output generated for other users (Section 5.6).
"Service Data"
Service Data means data automatically collected by the Service, including:
- device information and identifiers
- diagnostic and performance data
- usage logs and IP addresses
- event timing, latency, and system metrics
- authentication metadata
- crash or error reports
Service Data is owned by Runtime Labs and used to operate, secure, and improve the Service.
"De-identified Data"
De-identified Data means data produced by Runtime Labs through:
- transformation, analysis, aggregation, or processing of User Content or Output, or
- system-generated operations that reflect usage patterns, model performance, or product behavior.
Examples include (but are not limited to):
- embeddings of text or events
- statistical aggregates or analytics
- system-level models of time or context structures
- non-user-readable intermediate representations
- de-identified summaries or trajectory patterns
De-identified Data does not reveal the substance of User Content and is owned by Runtime Labs.
De-identified Data is distinct from and does not include User Content or Output.
2.1 Ownership of User Content
You retain all rights, title, and interest in your User Content. Nothing in these Terms transfers ownership of User Content to Runtime Labs.
However, you grant us a limited license (Section 2.2) so we can provide and improve the Service.
User Content remains under your control until deleted or removed by you, subject to reasonable backup retention periods.
2.2 License to Runtime Labs for Service Operation
To operate, maintain, secure, and improve the Service, you grant Runtime Labs a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:
- access, host, store, copy, process, and transmit User Content;
- use User Content to generate Output through AI-Assisted Features;
- display User Content within your account;
- perform technical operations such as indexing, caching, or transcoding;
- generate De-identified Data necessary for Service functionality;
- maintain service integrity, diagnostics, and troubleshooting;
- comply with applicable law or legal requests.
This license persists only as long as your User Content is stored in the Service or reasonably required to operate or secure the Service.
2.3 Event Data, Notes, Media, and Related Metadata
User Content may include:
- event titles, descriptions, times, and locations
- structured or unstructured notes
- uploaded images or media
- contextual prompts and instructions
- device metadata (e.g., timezone, locale, approximate location)
- event-linked conversations with AI-Assisted Features
You understand and agree that:
- The Service analyzes and processes this information to function properly.
- Metadata (such as timestamps or geolocation hints) may enhance event interpretation.
- Uploaded files may be transformed (e.g., resized, compressed, or optimized).
- Deleted content may persist temporarily in system backups.
Runtime Labs will not repurpose User Content for model training unless explicitly allowed by the User under a separate opt-in policy.
2.4 Language Model Output and Context
As between you and Runtime Labs:
- You own your Output, to the extent permitted by law.
- Runtime Labs owns the models, infrastructure, and systems that create Output.
- You understand that Output may be similar or identical to Output generated for other users.
- Output may not be confidential, unique, or proprietary due to model behavior.
- Runtime Labs may retain a copy of Output as needed to operate or improve the Service, consistent with your privacy settings.
You are solely responsible for verifying the accuracy and appropriateness of Output before relying on it.
2.5 Restrictions Around Sensitive or Regulated Data
You agree not to upload, submit, or store through the Service:
- protected health information (PHI) under HIPAA
- financial account numbers or payment card data
- government-issued identification numbers
- biometric data
- classified, export-controlled, or regulated data
- data restricted by child privacy laws (e.g., COPPA)
- any content illegal to store or transmit under applicable law
Runtime is not designed for these data categories, and Runtime Labs disclaims liability for misuse.
2.6 Feedback and Suggestions
If you provide feedback, suggestions, or recommendations ("Feedback"), you grant Runtime Labs a perpetual, irrevocable, royalty-free, worldwide license to use, modify, adapt, and incorporate such Feedback into the Service without restriction or compensation.
Feedback does not create any confidentiality obligations.
3. Acceptable Use
3.1 Prohibited Activities
You agree not to use the Service (including AI-Assisted Features) to:
- violate any applicable law or regulation;
- infringe or misappropriate the rights of others;
- upload or distribute malware, harmful code, or automated spam;
- impersonate any individual or entity;
- engage in fraudulent, deceptive, or harmful conduct;
- stalk, harass, or threaten others;
- enable surveillance or monitoring of individuals without consent;
- coordinate or facilitate violence, self-harm, or unlawful activity.
3.2 Model Abuse and System Manipulation
You may not:
- attempt to extract, probe, or infer model weights, parameters, decision processes, or training data;
- perform prompt injection, jailbreak attempts, adversarial attacks, or systematic stress-testing without prior written permission from Runtime Labs;
- develop competing models, datasets, or services using insights from the Service.
3.3 System Security Restrictions
You may not:
- probe, scan, or test the vulnerability of the Service;
- circumvent security controls, authentication measures, or rate limits;
- interfere with monitoring, logging, or performance control systems;
- access the Service using automated tools (bots, scrapers, crawlers) unless explicitly permitted.
3.4 Prohibited Content and High-Risk Data
You may not submit or store:
- Sensitive Personal Data (including PHI, financial numbers, or government IDs);
- regulated, classified, or export-controlled information;
- data used to make autonomous decisions in life-critical, medical, legal, or emergency contexts.
Runtime is not designed for high-risk or regulated data processing, and Runtime Labs disclaims liability for such use.
3.5 Platform Integrity and Rate Limits
Runtime Labs may enforce or modify rate limits, storage caps, throttles, or quotas.
You may not:
- artificially inflate usage or bypass limits;
- generate excessive events, prompts, or requests to degrade Service performance;
- perform bulk extraction, scraping, or exporting of data beyond documented features.
3.6 Enforcement, Suspension, and Reporting Abuse
Runtime Labs may:
- investigate violations,
- block or remove User Content,
- suspend or terminate accounts,
- notify or cooperate with law enforcement,
- apply technical restrictions (including IP blocking).
Users are encouraged to report abuse via official support channels.
4. Payment and Subscriptions — Revised and Strengthened
4.1 Free Plans, Paid Plans, Trials, and Credits
The Service may offer:
- free access tiers,
- paid subscriptions,
- usage-based billing,
- enterprise agreements,
- promotional credits or limited-time trials.
Trial periods convert to paid subscriptions unless cancelled before expiration.
Promotional credits expire as stated and have no cash value.
4.2 Billing, Automatic Renewal, and Payment Methods
By subscribing to a paid plan, you authorize Runtime Labs to:
- charge your selected payment method on a recurring basis,
- charge applicable taxes and fees,
- store payment credentials for ongoing billing.
Subscriptions automatically renew unless cancelled before renewal.
Failure to maintain valid payment details may result in suspension.
4.3 Refunds, Cancellations, and Downgrades
Except where required by law:
- all payments are non-refundable;
- cancellations take effect at the end of the billing cycle;
- partial refunds or credits are not provided;
Downgrading your plan (paid → free) may result in:
- loss of access to certain features,
- removal or restriction of stored data,
- storage limitations.
Runtime Labs is not responsible for lost access resulting from downgrades.
4.4 Chargebacks and Payment Disputes
You agree not to initiate chargebacks without first contacting Runtime Labs to resolve the issue.
Unauthorized chargebacks may:
- result in suspension or termination,
- be treated as a breach of these Terms,
- incur reimbursement obligations for chargeback fees.
4.5 Pricing Changes
Runtime Labs may change pricing at any time.
For existing subscribers, notice will be provided before the effective date.
Continued use of the Service after pricing changes constitutes acceptance.
4.6 Taxes and Governmental Charges
You are responsible for:
- all applicable sales taxes,
- duties, levies, or government-imposed charges,
- except taxes based on Runtime Labs' net income.
Runtime Labs may calculate applicable taxes based on your billing information.
4.7 Enterprise Billing and Invoicing
For enterprise customers:
- invoices are payable within the period stated on the invoice,
- late payments may accrue interest,
- failure to pay may result in suspension or termination.
5. AI and Scheduling Disclaimers
Runtime includes natural-language processing, event extraction, scheduling assistance, time interpretation, location inference, and similar AI-Assisted Features ("AI-Assisted Features"). These features rely on statistical models, may produce incorrect or incomplete results, and should not be treated as authoritative.
AI-Assisted Features may be provided or powered in whole or in part by third-party model providers. Your use of such features is subject to these Terms and, where applicable, to any additional terms or use restrictions we disclose for specific integrations.
6. Intellectual Property
Runtime Labs owns all rights, title, and interest in and to the Service, including its software, interfaces, models, algorithms, design systems, branding, data structures, and all related intellectual property ("Runtime Labs IP").
Using the Service does not grant you ownership of any Runtime Labs IP.
6.1 Runtime Labs IP
Runtime Labs retains all rights to:
- the Runtime interface, design, and user experience,
- scheduling architecture, timeline models, and event structures,
- natural-language processing pipelines and AI-Assisted Features,
- software code, documentation, APIs, and specifications,
- trademarks, logos, and proprietary branding.
You may not copy, modify, or create derivative works from any Runtime Labs IP.
6.2 Restrictions on Use
You agree not to:
- reverse-engineer, disassemble, or attempt to derive source code,
- scrape, harvest, or extract data from the Service,
- develop or train competing models or products using the Service,
- bypass, disable, or interfere with access controls,
- use Runtime Labs IP for competitive benchmarking unless allowed by law.
Any unauthorized use terminates your rights to the Service.
Violations of these restrictions may result in legal action, and Runtime Labs reserves all legal remedies available under applicable law, including but not limited to injunctive relief, damages, and recovery of attorneys' fees.
6.3 Third-Party Software and Services
The Service may incorporate:
- model providers,
- cloud infrastructure,
- geolocation services,
- open-source components.
Your use of those components is subject to their respective licenses and terms.
6.4 Open Source Components
Some features rely on open source libraries.
To the extent required, Runtime Labs will provide notices and license terms governing those components in our documentation, repository, or as otherwise required by applicable open source licenses.
You agree that open source components are provided "as-is" and without warranties.
6.5 Trademarks and Branding
"Runtime," "Runtime Labs," and associated visual marks are trademarks of Runtime Labs, Inc. This protection applies to both registered and unregistered marks.
You may not use these marks without our prior written permission. Prohibited uses include, but are not limited to:
- using them in domain names, URLs, or website titles,
- incorporating them into marketing materials, product names, or service offerings,
- using them in a manner that suggests endorsement, affiliation, or sponsorship,
- creating derivative marks or variations that are confusingly similar.
6.6 User Content Incorporating Runtime Labs IP
If you create content that incorporates Runtime Labs IP (such as screenshots, recordings, or derivative works based on the Service), you retain ownership of your original contributions, but:
- you may not claim ownership of the Runtime Labs IP incorporated therein,
- your use of such content is subject to these Terms and all applicable restrictions,
- you grant Runtime Labs a license to use, display, and distribute such content for Service operation, marketing, and improvement purposes,
- you may not use such content in a manner that competes with or harms the Service or Runtime Labs' business interests.
This section does not limit your rights to your User Content as defined in Section 2, but clarifies the treatment of content that combines your contributions with Runtime Labs IP.
7. Privacy and Security
Security and privacy of user data are paramount to Runtime Labs. We are committed to protecting your information through industry-standard security practices, transparent data handling, and respect for your privacy rights.
7.1 Overview
Your privacy and the security of your information are important to Runtime Labs. Our Privacy Policy explains in detail how we collect, use, and share personal data in connection with the Service.
This Section 7 provides a high-level summary of our privacy and security practices as they relate to the data categories defined in Section 2 (User Content, Output, Service Data, and De-identified Data). If there is any conflict between this Section 7 and our Privacy Policy with respect to how we handle personal data, the Privacy Policy will control.
7.2 Data Categories and How We Use Them
We handle different categories of data as follows:
- User Content
Used to provide the core functionality of the Service (e.g., storing events, notes, and uploads; showing them in your account; enabling AI-Assisted Features).
We do not claim ownership of your User Content (see Section 2.1). - Output
Used to respond to your prompts, populate events or notes, and support contextual features.
You own your Output to the extent permitted by law, and you are responsible for how you use it (Section 2.4 and Section 5). - Service Data
Used to operate, secure, and maintain the Service, including logging, performance monitoring, abuse detection, and reliability improvements. - De-identified Data
Used to improve the Service, including analytics, model evaluation, and product design, in a form that does not contain User Content in human-readable form. We do not use De-identified Data in a way that is intended or reasonably likely to reconstruct the substance of your User Content.
We use these categories of data only as permitted by these Terms, our Privacy Policy, and applicable law.
7.3 Data Collection and Processing
In connection with your use of the Service, we may collect and process:
- account and profile information (e.g., email, display name);
- User Content (events, notes, uploads, prompts, and related metadata);
- usage and device information (e.g., logs, IP address, browser type, approximate location, timezone);
- interaction data with AI-Assisted Features (e.g., prompts and Output, subject to your settings);
- billing and subscription information (for paid plans).
We process this information to:
- provide and maintain the Service;
- secure and monitor the Service for abuse or misuse;
- personalize and improve features, including AI-Assisted Features;
- comply with legal obligations and enforce these Terms.
Additional detail on our processing activities appears in the Privacy Policy.
7.4 Sharing with Service Providers and Model Providers
We may share certain data with third parties who help us operate the Service, including:
- cloud hosting and infrastructure providers;
- authentication and identity providers;
- analytics and monitoring tools;
- payment processors (for paid accounts);
- AI model providers that power AI-Assisted Features.
When we send User Content or Output to third-party model providers or infrastructure providers, we do so subject to appropriate contractual, technical, and organizational safeguards designed to protect your data. We require all service providers to maintain confidentiality and security standards consistent with these Terms and applicable law.
We will not sell your personal information in the ordinary meaning of "sell." We also will not allow third parties to use your User Content or Output for their own independent advertising or marketing purposes.
Any sharing of personal data is subject to our Privacy Policy and applicable law.
7.5 Cookies, Local Storage, and Tracking Technologies
The Service may use:
- cookies,
- local storage (e.g., for session or view preferences),
- similar technologies (e.g., pixels, device identifiers),
to:
- keep you signed in,
- remember settings such as timezone or view preferences,
- measure usage and performance,
- help protect against abuse and unauthorized access.
You may be able to control certain cookies or tracking technologies through your browser or device settings. Details on the types of technologies used and your choices are described in the Privacy Policy.
7.6 Data Retention and Deletion
Runtime Labs retains data only for as long as reasonably necessary to:
- provide and maintain the Service;
- comply with legal and regulatory obligations;
- resolve disputes and enforce our agreements;
- maintain security, logging, and backup integrity.
In general:
- User Content is retained while your account is active or until you delete it, subject to limited backup and log retention.
- Output may be retained alongside User Content where it is attached to events, notes, or conversations, or as otherwise required to operate the Service.
- Service Data and De-identified Data may be retained for longer periods for security, analytics, and Service improvement, in a way that does not identify you personally where possible.
If you close your account or delete specific items, we will remove or de-identify associated User Content within a reasonable time, subject to:
- technical limitations;
- backup retention cycles;
- legal or regulatory retention requirements.
Your rights to access, correct, or delete personal data (and how to exercise them) are described in the Privacy Policy and may vary by jurisdiction.
7.7 Security Practices and User Responsibilities
Runtime Labs implements and maintains industry-standard security measures to protect data processed by the Service. Our security practices include:
- encryption in transit for data sent to and from the Service;
- encryption at rest for stored data;
- access controls limiting internal access to User Content and personal data to personnel with a legitimate operational need;
- regular security assessments and vulnerability testing;
- logging and monitoring intended to detect abuse, misuse, or security incidents;
- incident response procedures designed to promptly address and mitigate security threats.
If we offer additional client-side or end-to-end encryption features for specific content types, we will describe them clearly in the Service and our documentation. Using such features may limit our ability to assist with data recovery if you lose keys or credentials.
Despite our efforts, no system is perfectly secure. You are responsible for:
- maintaining the confidentiality of your account credentials;
- using strong, unique passwords and enabling any available security features (such as multi-factor authentication);
- promptly notifying us of any suspected unauthorized access or security incident;
- keeping your devices and software updated with security patches;
- not sharing your account credentials with third parties.
Security Incident Notification: In the event of a security breach that compromises your personal data, Runtime Labs will notify affected users and relevant authorities as required by applicable law, typically within the timeframes specified by applicable data protection regulations.
Runtime Labs is not responsible for loss or damage resulting from your failure to follow these responsibilities, to the fullest extent permitted by law.
8. Confidentiality
8.1 User Confidential Information
"User Confidential Information" means:
- User Content,
- Output, and
- any non-public information you provide to Runtime Labs in connection with the Service
that a reasonable person would understand to be confidential in nature.
Subject to Sections 2 and 7 and the exceptions below, Runtime Labs will:
- use User Confidential Information only to provide, maintain, secure, and improve the Service, or as otherwise permitted by these Terms or your documented instructions; and
- not disclose User Confidential Information to third parties except:
- to service providers and subprocessors that assist us in operating the Service and are bound by confidentiality obligations at least as protective as those in these Terms;
- as required to comply with law, regulation, or valid legal process (see Section 8.4); or
- as reasonably necessary to prevent fraud, abuse, or security incidents.
8.2 Runtime Labs Confidential Information
"Runtime Labs Confidential Information" includes non-public information about:
- the Service's architecture, designs, and security practices;
- business plans, roadmaps, and pricing not publicly announced;
- internal tooling, documentation, or operational processes;
- any other information we designate as confidential or which should reasonably be understood to be confidential.
You agree to:
- use Runtime Labs Confidential Information only to use the Service as permitted by these Terms; and
- not disclose Runtime Labs Confidential Information to any third party without our prior written consent, except as required by law.
8.3 Exceptions to Confidentiality
The obligations in this Section 8 do not apply to information that the receiving party can demonstrate:
- is or becomes publicly available through no breach of these Terms;
- was lawfully known to the receiving party before disclosure;
- is obtained from a third party without breach of any confidentiality obligation; or
- is independently developed without use of the disclosing party's confidential information.
For clarity, Service Data and De-identified Data (as defined in Section 2) may be used by Runtime Labs for security, analytics, and Service improvement, including in aggregated or de-identified form, provided that such use is consistent with our Privacy Policy and does not identify you as an individual. This usage aligns with the practices described in Section 7.
8.4 Legal Disclosures and Compliance
We may access, preserve, and disclose information (including User Content, Output, Service Data, and account information) if we believe in good faith that such action is reasonably necessary to:
- comply with any applicable law, regulation, legal process, or enforceable governmental request;
- enforce these Terms, including investigation of potential violations;
- detect, prevent, or address fraud, security, or technical issues; or
- protect the rights, property, or safety of Runtime Labs, our users, or the public as required or permitted by law.
Where legally permitted and practicable, we will provide you with reasonable notice of any legal demand for your information so that you may seek to limit or challenge such demand.
9. Term and Termination
9.1 Term
These Terms begin when you first access or use the Service and remain in effect until terminated by you or Runtime Labs in accordance with this Section 9.
9.2 Your Termination and Account Deletion
You may stop using the Service at any time. You may also request account deletion through the mechanisms provided in the Service (or by contacting us as described in Section 14).
Important: Account deletion is permanent and may not be reversible. Before deleting your account, you should export or back up any User Content you wish to retain, to the extent export tools are made available in the Service.
Upon account deletion:
- Your access to User Content and Output associated with that account may be permanently removed, subject to limited retention described in our Privacy Policy.
- Certain data (including Service Data and De-identified Data) may be retained as permitted by law and as described in these Terms and our Privacy Policy (for example, for security, audit, or compliance purposes).
9.3 Our Right to Suspend or Terminate
We may suspend (temporarily restrict) or terminate (permanently end) your access to some or all of the Service, or close your account, at any time, with or without notice, if:
- you violate these Terms or other policies referenced herein;
- we reasonably believe your use of the Service creates risk, harm, or liability for Runtime Labs, other users, or third parties;
- we are required to do so by law, regulation, court order, or request of a government or regulatory authority;
- there is suspected fraud, abuse, or security compromise related to your account; or
- you fail to pay fees when due (for paid plans), after any applicable grace period.
We may also suspend or discontinue the Service (in whole or in part) generally, as described in Section 1.5.
Where feasible and legally permitted, we will make reasonable efforts to notify you of a suspension or termination that is not caused by your material breach. Suspension may precede termination, and we may terminate your account if violations are not remedied within a reasonable time.
9.4 Effect of Termination
Upon termination of your account or your access to the Service:
- your right to use the Service immediately ceases;
- access to your account, User Content, and Output may be disabled;
- we may delete or anonymize User Content associated with your account, subject to:
- technical and operational limitations,
- limited retention required for security, legal, or compliance purposes, and
- any obligations under applicable law.
Nothing in this Section limits our ability to retain:
- Service Data and De-identified Data created in the ordinary course of operating the Service, in de-identified or aggregated form, and
- records reasonably necessary to demonstrate compliance, enforce our rights, or resolve disputes.
You are responsible for exporting or backing up any User Content you wish to retain before closing your account or before your access is otherwise terminated, to the extent export tools are made available in the Service. Runtime Labs is not responsible for any loss of data resulting from termination.
9.5 Survival
The following sections of these Terms (and any other provisions that by their nature should reasonably survive) will survive termination of your account or access to the Service, to the extent applicable:

10. Warranties and Disclaimers
10.1 "As-Is" and "As-Available" Service
To the fullest extent permitted by law, the Service (including AI-Assisted Features, Output, Beta Features, and any content or information made available through the Service) is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
Without limiting the foregoing, Runtime Labs specifically disclaims any implied warranties of:
- merchantability,
- fitness for a particular purpose,
- non-infringement,
- quiet enjoyment, and
- course of dealing or usage of trade.
We do not warrant that:
- the Service will be uninterrupted, timely, secure, or error-free;
- the Service will be compatible with your devices, systems, or third-party tools;
- any defects or errors will be corrected; or
- the Service will meet your requirements or expectations.
The Service may depend on third-party services, infrastructure, or model providers that are beyond our control. We disclaim all liability for failures, interruptions, or errors caused by such third-party dependencies, including but not limited to cloud infrastructure outages, model provider service disruptions, or changes to third-party APIs or services.
10.2 No Guarantee of Accuracy or Reliability
To the fullest extent permitted by law, Runtime Labs makes no representation or warranty regarding:
- the accuracy, completeness, reliability, or timeliness of any Output;
- the correctness of event parsing, time interpretation, location inference, or scheduling logic;
- the correctness of any data or content made available via third-party integrations.
AI-Assisted Features rely on probabilistic models that may produce errors, hallucinations, inconsistencies, or incorrect information. Output may be factually incorrect, incomplete, or inappropriate for your intended use. You acknowledge that AI-Assisted Features are experimental in nature and may not perform as expected in all circumstances.
Any use of Output, recommendations, or suggestions from the Service is at your sole discretion and risk. You are solely responsible for independently verifying, reviewing, and validating any Output before relying on it for any purpose.
10.3 No Responsibility for Scheduling or Calendar Errors
You are solely responsible for:
- verifying the accuracy of events, times, dates, time zones, locations, and attendees;
- confirming that events are properly created, updated, or synchronized with any external calendars;
- ensuring that critical events (such as meetings, travel, or deadlines) are correctly scheduled and monitored;
- double-checking time zone conversions, especially for events across multiple time zones;
- verifying that calendar integrations are functioning correctly.
To the fullest extent permitted by law, Runtime Labs is not liable for:
- missed meetings or appointments;
- unsent or unreceived reminders;
- double bookings, time zone mismatches, or conflicting events;
- errors arising from integrations with third-party calendar or scheduling services;
- losses or damages resulting from scheduling errors, including but not limited to missed opportunities, travel disruptions, or professional consequences.
These disclaimers apply regardless of whether the error resulted from AI-Assisted Features, system malfunctions, user input, third-party service failures, or any other cause. See Section 5 for additional disclaimers regarding AI-Assisted Features and scheduling risks.
10.4 No Professional, Legal, Medical, or Financial Advice
The Service and any Output are provided for general informational purposes only and do not constitute:
- medical or health advice,
- legal or regulatory advice,
- financial, investment, or tax advice,
- safety, emergency, or crisis guidance, or
- any other form of professional or expert advice.
You must consult appropriate qualified professionals before making decisions that could affect your health, safety, finances, legal rights, or obligations. You agree not to represent Output as advice from Runtime Labs or from any professional advisor.
Runtime Labs does not endorse, verify, or assume responsibility for any Output, recommendations, or suggestions provided by AI-Assisted Features. Output may contain errors, outdated information, or information that is not applicable to your specific situation.
10.5 No Warranty of Data Preservation or Availability
To the fullest extent permitted by law, Runtime Labs does not warrant that:
- any User Content, Output, or other data will be preserved, backed up, or available at all times;
- the Service will prevent data loss or corruption; or
- backups, if any, will be accurate, complete, or restorable.
While Runtime Labs implements security measures as described in Section 7, no system is perfectly secure or immune to data loss. You are responsible for maintaining your own copies of any data you consider important. Runtime Labs is not responsible for any loss, corruption, or unavailability of your data, regardless of the cause.
10.6 Jurisdictional Limitations
Some jurisdictions do not allow limitations on certain warranties or the exclusion of certain implied warranties. To the extent that applicable law does not permit the disclaimers in this Section 10 to apply, those disclaimers will apply to you only to the maximum extent permitted by law.
If any provision of this Section 10 is found to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
11. Limitation of Liability
11.1 Exclusion of Certain Damages
To the fullest extent permitted by law, Runtime Labs and its affiliates, and their respective directors, officers, employees, contractors, and agents (collectively, the "Runtime Labs Parties") will not be liable for any:
- indirect, incidental, special, consequential, exemplary, or punitive damages;
- loss of profits, revenue, savings, business, goodwill, or reputation;
- loss, corruption, or inaccuracy of data; or
- business interruption or replacement service costs,
arising out of or relating to these Terms or your access to or use of (or inability to access or use) the Service, including any AI-Assisted Features or Output, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not a Runtime Labs Party has been informed of the possibility of such damage.
Without limiting the foregoing, the Runtime Labs Parties will not be liable for damages resulting from:
- failures, errors, or interruptions of third-party services, infrastructure, or model providers;
- your failure to verify, review, or validate Output or scheduling information;
- errors or failures in calendar integrations, third-party API connections, or external service synchronizations;
- errors in time zone conversions, date calculations, or calendar synchronization across different time zones;
- events beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
11.2 Aggregate Liability Cap
To the fullest extent permitted by law, the total aggregate liability of the Runtime Labs Parties for all claims arising out of or relating to these Terms or the Service (including AI-Assisted Features and Output), whether in contract, tort, or otherwise, will be limited to the greater of:
- (a) five hundred U.S. dollars ($500), or
- (b) the total amount you paid to Runtime Labs for access to the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
This limitation applies on a per-User basis and in the aggregate for all claims, and will not be increased by the existence of more than one claim or claimant. This limitation applies even if any remedy provided in these Terms fails of its essential purpose.
11.3 Application and Jurisdictional Limits
Some jurisdictions do not allow the exclusion of certain damages or the limitation of liability as set forth in this Section 11. In those jurisdictions, the exclusions and limitations in this Section 11 will apply only to the fullest extent permitted by applicable law.
Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable law, such as liability for intentional misconduct or for injury resulting from gross negligence where such limitations are prohibited.
If any provision of this Section 11 is found to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
12. Indemnification
12.1 User Obligations
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Runtime Labs, Inc., its affiliates, and each of their respective officers, directors, employees, contractors, and agents (collectively, the "Runtime Labs Parties") from and against any and all claims, demands, disputes, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- your access to or use of the Service (including AI-Assisted Features and any Output);
- your User Content, including any allegation that User Content infringes, misappropriates, or violates any intellectual property, privacy, or other rights of a third party;
- your misuse of Output, including any use of Output to provide advice, services, or representations to third parties;
- your violation of these Terms (including Sections 2, 3, 5, 6, and 1.8 (API Access and Credentials));
- your violation of any applicable law, rule, or regulation; or
- your gross negligence, willful misconduct, or fraud.
12.2 Scope of Indemnifiable Claims
Your indemnification obligations apply to third-party claims, investigations, and proceedings, including those brought by:
- other users or individuals,
- business counterparties or data subjects,
- regulators, governmental authorities, or other public bodies,
to the extent such claims arise from the categories listed in Section 12.1.
This indemnity covers, without limitation:
- judgments, settlements, and awards;
- reasonable attorneys' fees and legal costs;
- fines and penalties assessed by governmental authorities (where indemnification for such amounts is permitted by law).
12.3 Defense and Settlement
Runtime Labs will:
- provide you with prompt written notice of any claim for which it seeks indemnification, provided that failure to provide prompt notice will not relieve you of your obligations except to the extent you are materially prejudiced by the delay; and
- give you reasonable cooperation, at your expense, in the defense of the claim.
Runtime Labs may, at its option and expense, participate in the defense with counsel of its own choosing.
Runtime Labs reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you at any time. If Runtime Labs assumes control, you agree to cooperate fully with such defense and to reimburse Runtime Labs for all costs and expenses incurred in connection with such defense.
You may not settle any claim that imposes any obligation on, or admits fault by, any Runtime Labs Party without Runtime Labs' prior written consent.
12.4 Limitations
This Section 12 does not require you to indemnify any Runtime Labs Party for:
- claims to the extent caused by that Runtime Labs Party's own intentional misconduct or willful violation of law; or
- any matter to the extent that indemnification is prohibited by applicable law.
This indemnification obligation will survive termination of your account or access to the Service, to the extent applicable.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms, and any Dispute (as defined below) arising out of or relating to the Service, will be governed by the laws of the State of California, U.S.A., without regard to its conflict-of-laws rules.
Subject to the arbitration provisions below, the exclusive jurisdiction and venue for any Dispute that is not subject to arbitration will be the state and federal courts located in San Francisco County, California (or such other location as Runtime Labs may designate from time to time with reasonable notice through an update to these Terms or by providing notice to you at the email address associated with your account), and you and Runtime Labs consent to the personal jurisdiction of those courts.
13.2 Definition of "Dispute"
For purposes of this Section 13, a "Dispute" means any claim, controversy, or dispute between you and Runtime Labs arising out of or relating to:
- these Terms,
- the Service,
- your use of or access to the Service, or
- any communications, Output, or interactions with Runtime Labs,
whether based in contract, tort, statute, regulation, or any other legal or equitable theory, and regardless of when such Dispute arose.
13.3 Informal Resolution
Before filing any claim against the other, you and Runtime Labs agree to first attempt to resolve the Dispute informally:
- You agree to contact us using the contact information provided in Section 14.4 and provide a brief written description of the Dispute and your contact information.
- Runtime Labs will contact you at the email address associated with your account (or any other contact information you provide) to attempt to resolve the Dispute.
If the Dispute is not resolved within 30 days after the initial notice is received, either party may commence arbitration as described below (or, if applicable, may bring the claim in small claims court).
Any applicable statute of limitations will be tolled during this 30-day informal resolution period.
13.4 Agreement to Arbitrate
Mandatory Arbitration (U.S. users).
To the fullest extent permitted by law, you and Runtime Labs agree that any Dispute that cannot be resolved through informal means as described in Section 13.3 will be resolved through final and binding arbitration, rather than in court, except as provided in Section 13.7 (Exceptions) and Section 13.8 (Opt-Out).
- The arbitration will be conducted by a single arbitrator.
- The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, if JAMS is unavailable, by a comparable arbitration provider mutually agreed by the parties).
- The arbitrator will have exclusive authority to resolve any Dispute relating to the interpretation, applicability, enforceability, or formation of this agreement to arbitrate, including any claim that all or any part of this Section 13 is void or voidable, except as otherwise provided in this Section 13.
Location and Procedure.
- The arbitration may be conducted by written submissions, by telephone or video conference, or in person in San Francisco, California (or such other location as Runtime Labs may designate from time to time with reasonable notice), or another location mutually agreed by the parties.
- The language of the arbitration will be English.
Fees.
- Payment of all filing, administration, and arbitrator fees will be governed by the rules of the arbitration provider, subject to the following:
- If the arbitrator finds that your claims are frivolous or brought for an improper purpose, you agree to reimburse Runtime Labs for its share of arbitration fees to the extent required by the provider's rules.
- Otherwise, Runtime Labs will not seek reimbursement of its arbitration fees from you solely because you initiated arbitration.
13.5 Class Action Waiver
To the fullest extent permitted by law, you and Runtime Labs agree that all Disputes must be brought on an individual basis only and not as a plaintiff or class member in any purported:
- class action,
- collective action,
- consolidated action, or
- representative proceeding.
Class arbitrations, class actions, private attorney general actions, and consolidation of arbitrations are not allowed.
If, for any reason, a Dispute proceeds in court rather than in arbitration, you and Runtime Labs each waive any right to a jury trial, to the fullest extent permitted by law.
If the class action waiver in this Section 13.5 is found to be unenforceable with respect to a particular claim or request for relief, then (to that extent only) the agreement to arbitrate in Section 13.4 will not apply to that claim or request, which must instead proceed in court as described in Section 13.1.
13.6 Time Limit to Bring Claims
To the fullest extent permitted by law, any Dispute must be filed within one (1) year after the event giving rise to the Dispute occurred. Otherwise, the claim is permanently barred.
This limitation period applies to both parties and supersedes any longer limitation period otherwise provided by law, unless prohibited in your jurisdiction.
13.7 Exceptions (Small Claims and Injunctive Relief)
The agreement to arbitrate does not require arbitration of:
- Individual claims in small claims court (or equivalent) within the scope of that court's jurisdiction; or
- Claims where a party seeks injunctive or other equitable relief to:
- protect its intellectual property rights,
- prevent unauthorized access to or use of the Service, or
- address a security, data protection, or confidentiality breach.
Such claims may be brought in the courts specified in Section 13.1.
13.8 Opt-Out of Arbitration (U.S. users)
If you do not wish to be bound by the arbitration and class action waiver provisions in this Section 13:
- You must send us written notice of your decision to opt out,
- Within 30 days of the date you first accept these Terms,
- Using the contact information in Section 14.4 (with subject line "Arbitration Opt-Out").
Your notice must include:
- your full name,
- the email address associated with your account,
- a statement that you are opting out of the arbitration agreement in these Terms.
Opting out of arbitration does not affect your other rights or obligations under these Terms, but the arbitration agreement and class action waiver will not apply to you. If you opt out, Runtime Labs will not be bound by Section 13.4 or 13.5 with respect to you.
13.9 International Users
If you are located outside the United States, Sections 13.4–13.8 (arbitration and class action waiver) may not apply to you, depending on local consumer protection laws.
In such cases, you and Runtime Labs agree that any Dispute will be brought exclusively in the courts specified in Section 13.1, unless mandatory law in your country requires a different forum.
13.10 Severability (Dispute Resolution)
If any provision of this Section 13 (other than the class action waiver) is found to be invalid or unenforceable, that provision will be severed and the remainder of this Section 13 will remain in full force and effect.
If the class action waiver in Section 13.5 is found to be invalid or unenforceable in its entirety, then this entire Section 13 (Agreement to Arbitrate and Class Action Waiver) will be void, and any remaining Dispute must be resolved in court as described in Section 13.1.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with any additional terms or policies referenced herein (including our Privacy Policy), constitute the entire agreement between you and Runtime Labs regarding the Service and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral, relating to the Service.
14.2 Changes to These Terms
We may update these Terms from time to time. When we do so, we will:
- update the "Effective Date" at the top of these Terms, and
- when changes are material, provide additional notice (for example, by email or in-product notice).
Unless otherwise stated, updated Terms become effective upon posting.
Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.
Updates will not retroactively change dispute resolution provisions for Disputes that arose before the effective date of the updated Terms, to the extent prohibited by applicable law.
14.3 Assignment
You may not assign or transfer these Terms, or any of your rights or obligations under them, without our prior written consent.
Runtime Labs may assign or transfer these Terms, in whole or in part, without restriction, including:
- to an affiliate,
- in connection with a merger, acquisition, corporate reorganization, or sale of assets, or
- by operation of law.
Any permitted assignment will be binding on successors and permitted assigns.
14.4 Notices and Contact Information
We may provide notices to you by:
- email to the address associated with your account;
- in-product messages, banners, or notifications; or
- posting on our website or within the Service.
Such notices will be deemed given when sent or posted.
You may send notices to Runtime Labs regarding legal or contractual matters using the contact methods indicated within the Service (for example, in a "Legal," "Terms," or "Contact" section), or by any other method we designate from time to time.
Please include your name, contact information, and a clear description of your request or concern.
14.5 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
14.6 Waiver
No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term. Runtime Labs' failure to enforce any right or provision under these Terms will not be deemed a waiver of such right or provision.
14.7 Force Majeure
Except for payment obligations, neither you nor Runtime Labs will be liable for any delay or failure to perform any obligation under these Terms to the extent caused by events beyond that party's reasonable control, including but not limited to:
- natural disasters or acts of God;
- war, terrorism, or civil unrest;
- labor disputes or strikes;
- failures of the internet or telecommunications networks;
- power outages;
- governmental actions or regulations; or
- failures of third-party hosting, infrastructure, or service providers.
The affected party will use reasonable efforts to mitigate the impact of such events and resume performance as soon as reasonably practicable.
14.8 No Third-Party Beneficiaries
These Terms are for the sole benefit of you and Runtime Labs and do not create any rights or causes of action in or on behalf of any third party.
14.9 Relationship of the Parties
You and Runtime Labs are independent contracting parties. These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and Runtime Labs.
14.10 Export and Trade Compliance
You agree to comply with all applicable export control, sanctions, and trade laws in connection with your use of the Service. You may not:
- use the Service in or for the benefit of any country, organization, or individual prohibited under applicable sanctions or export laws; or
- export or re-export any part of the Service in violation of such laws.
By using the Service, you represent and warrant that you are not located in any jurisdiction, and are not on any government list, that would prohibit you from receiving the Service.
14.11 Geographic Restrictions
Runtime Labs may restrict access to the Service in certain countries or regions where providing the Service would be unlawful or commercially impractical. You are responsible for ensuring that your use of the Service complies with local laws and regulations.
